NeuroTech Insights – Terms of Use

1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the NeuroTech Insights software, mobile applications, websites, and related services (collectively, the “Services”). The Services are provided by SportGait, Inc. d/b/a NeuroTech Insights (“Company,” “we,” or “us”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

2. Intended Use – Informational Only (Not Diagnostic)

The Services provide informational neurofunctional insights only.

The Services do not:

  • diagnose any medical condition
  • provide medical advice
  • replace clinical judgment
  • determine treatment or return‑to‑play decisions

If you believe you are experiencing a medical condition, seek medical attention immediately. If an emergency arises, call 911.

3. AI‑Generated Insights and Limitations

The Services use artificial intelligence and machine‑learning models to generate certain insights, interpretations, and risk indicators.

You acknowledge and agree that:

  • AI outputs may be probabilistic
  • AI outputs may contain errors
  • AI outputs may not reflect actual patient conditions
  • AI outputs are not a substitute for professional clinical judgment

You are solely responsible for all decisions made using or in reliance on the Services.

Company does not warrant the accuracy, completeness, or reliability of any AI‑generated output.

4. Change of These Terms

We may modify these Terms at any time. Updated Terms will be posted on our website. Continued use of the Services constitutes acceptance of the updated Terms.

5. Privacy Policy

Your use of the Services is governed by our Privacy Policy, available at: https://neurotechinsights.com/privacy/

The Privacy Policy is incorporated into these Terms by reference.

6. Accounts, Passwords and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You agree to notify us immediately of any unauthorized access or security breach.

7. User Content

You may upload or submit content through the Services. You retain ownership of your content, but you grant Company a limited license to use, display, and process your content solely for the purpose of providing the Services.

You may not upload content that is unlawful, harmful, infringing, or otherwise prohibited.

8. Intellectual Property

Company owns all intellectual property rights in the Services, including algorithms, scoring logic, models, analytics, dashboards, designs, and content.

You may not:

  • reverse engineer
  • decompile
  • disassemble
  • analyze
  • copy
  • create derivative works
  • use the Services to build or train competing products

9. De‑Identified Data and Analytics

Company may use De‑Identified Data and aggregated data generated through the Services for:

  • analytics
  • benchmarking
  • research
  • algorithm improvement
  • product development
  • investor reporting
  • commercial demonstrations

No identifiable patient information will be used for these purposes.

10. Third‑Party Services

The Services may integrate with third‑party applications. Your use of third‑party services is governed by their respective terms and privacy policies.

11. Disclaimers

The Services are provided “as is” and “as available.”

Company disclaims all warranties, including:

  • accuracy
  • reliability
  • merchantability
  • fitness for a particular purpose
  • non‑infringement

Company does not guarantee that:

  • the Services will be error‑free
  • the Services will be uninterrupted
  • defects will be corrected
  • data will be free of viruses or harmful components

You assume all risk associated with your use of the Services.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Company is not liable for indirect, incidental, consequential, special, or punitive damages
  • Company’s total liability will not exceed the greater of:
    1. the fees paid in the prior 12 months, or
    2. $100

Some jurisdictions do not allow certain limitations; in those cases, limitations apply to the fullest extent permitted.

13. Indemnification

You agree to indemnify and hold Company harmless from any claims, damages, losses, or expenses arising out of:

  • your use of the Services
  • your violation of these Terms
  • your violation of applicable laws
  • your clinical decisions or actions

14. Termination

We may suspend or terminate your access to the Services at any time, with or without cause.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of North Carolina.

Any disputes will be resolved in the state or federal courts located in New Hanover County, North Carolina.

16. Entire Agreement

These Terms constitute the entire agreement between you and Company regarding the Services.
